3. Description of Services

Acevista develops and manages targeted outbound campaigns intended to connect clients with relevant business owners, founders, investors, and professional advisors.

The scope of an engagement may include campaign planning, prospect research, infrastructure preparation, outreach execution, response management, preliminary qualification, and reporting.

Before a campaign begins, Acevista and the client should agree on the relevant campaign parameters, including:

  • Target industries and business categories.

  • Company size and geographic markets.

  • Ownership profiles and relevant decision-makers.

  • Acquisition criteria or transaction preferences.

  • Qualification requirements for a relevant conversation.

  • The definition of a qualified opportunity or qualified conversation.

  • The agreed commercial model and applicable fees.

  • The expected campaign scope and delivery period.

These details should be documented in a written proposal, order form, statement of work, or other mutually accepted service agreement.

The written service agreement takes precedence over general website descriptions when defining the specific deliverables, commercial terms, and performance requirements of an engagement.

4. No Guarantee of Transactions or Financial Outcomes

Acevista provides outbound prospecting and conversation-generation services. We do not act as a guarantor of transactions, acquisitions, investment returns, or completed mandates.

Although our campaigns are designed to generate relevant conversations and qualified opportunities, actual results may vary depending on factors including:

  • Market conditions and industry dynamics.

  • The size and accessibility of the target market.

  • The client's targeting and qualification criteria.

  • The relevance of the client's offering.

  • The responsiveness and intentions of prospects.

  • The competitiveness of the client's commercial proposition.

  • Campaign performance and deliverability.

  • The client's follow-up process and ability to progress opportunities.

  • Factors outside Acevista's reasonable control.

Any projected results, estimated timelines, expected opportunity volumes, or illustrative financial calculations are estimates rather than guarantees unless expressly incorporated into a written agreement as specific performance commitments.

The website's references to potential opportunity volumes or campaign timelines should not be interpreted as a promise that every client will achieve identical results.

5. Performance-Based Commercial Model

Acevista offers a commercial model intended to align fees with agreed performance outcomes rather than relying solely on a recurring monthly retainer.

However, the precise payment structure is determined by the individual agreement between Acevista and the client.

Before work begins, the agreement should specify:

  • The event or outcome that triggers a fee.

  • The definition of a qualified conversation, meeting, or opportunity.

  • Any minimum qualification requirements.

  • The applicable fee or pricing formula.

  • Any applicable minimum commitments or setup charges.

  • Payment deadlines and accepted payment methods.

  • The treatment of duplicate prospects or previously known contacts.

  • How disputed or incorrectly classified opportunities will be reviewed.

  • Any applicable taxes and transaction charges.

Unless the agreement states otherwise, booking a strategy call or discussing a potential engagement does not itself create a payment obligation.

No fee should be assumed to apply to a particular result unless its basis has been communicated and accepted in writing.

5.1 Qualification Criteria

Qualification criteria should be agreed upon before campaign launch.

Depending on the engagement, these criteria may include the prospect's industry, company size, geographic location, ownership profile, transaction intentions, suitability for the client's mandate, or other relevant characteristics.

A prospect's qualification does not constitute a guarantee that the prospect will transact, enter into negotiations, sign an engagement letter, or complete a transaction.

If a disagreement arises about whether an opportunity meets the agreed criteria, the parties should refer to the written qualification requirements and follow the dispute-resolution process specified in their agreement.

5.2 Payment Obligations

Clients agree to pay fees properly due under their written service agreement.

Invoices must be paid within the agreed payment period.

If a payment is disputed in good faith, the client should notify Acevista promptly, identify the disputed amount, and explain the basis of the dispute. Any undisputed amount remains payable according to the agreement.

Acevista may suspend affected services for materially overdue payments after providing any notice required by the applicable agreement or law.

6. Client Responsibilities

Acevista's ability to deliver relevant opportunities depends partly on the information, approvals, and cooperation provided by the client.

Clients agree to:

  • Provide accurate mandate, acquisition, and business information.

  • Clearly define their target market and qualification requirements.

  • Review and approve campaign messaging before launch.

  • Respond to requests for information or approvals within a reasonable timeframe.

  • Maintain accurate information about existing relationships and excluded prospects.

  • Review and follow up on opportunities handed over by Acevista.

  • Inform Acevista of material changes to their mandate, acquisition criteria, or commercial offering.

  • Ensure that their business, offering, and intended transactions comply with applicable laws.

  • Avoid misrepresenting their identity, intentions, financial position, or ability to transact.

Clients remain responsible for evaluating prospects, conducting due diligence, negotiating commercial terms, and making independent business decisions.

Acevista does not replace the client's legal, financial, investment, tax, or transaction advisors.

7. Campaign Setup and Launch

Before launching a campaign, Acevista may establish dedicated outreach domains, mailboxes, email infrastructure, prospect lists, and campaign messaging.

Setup and preparation timelines depend on the scope of work and the agreed campaign requirements.

Where applicable, the campaign may require a preparation and email-warmup period before outreach begins.

Any estimated setup or launch timeline communicated to the client is subject to the terms of the written agreement and may be affected by infrastructure readiness, client approvals, data availability, or third-party service providers.

Acevista will seek the client's approval of campaign messaging before launch where this is part of the agreed service scope.

Material changes to targeting, messaging, or campaign requirements after approval may affect delivery timelines and results.

8. Outreach and Third-Party Platforms

Acevista may rely on third-party services to deliver its services, including email infrastructure providers, prospect research tools, customer relationship management systems, scheduling tools, analytics platforms, and communication services.

These services may be subject to their own terms, technical limitations, availability requirements, and acceptable-use policies.

Acevista will use reasonable efforts to manage its activities responsibly but cannot guarantee uninterrupted operation of third-party platforms or complete control over their policies and decisions.

Email delivery, response rates, account availability, and access to third-party systems may be affected by spam filters, provider restrictions, technical failures, or changes to platform policies.

Clients must not request or encourage outreach practices that violate applicable laws, third-party platform policies, or the rights of recipients.

9. Compliance and Acceptable Use

Both parties agree to comply with applicable laws and regulations relevant to their activities.

These may include privacy and data protection laws, anti-spam requirements, marketing regulations, and applicable restrictions on the use of personal and business information.

Clients must not use Acevista's services to:

  • Send fraudulent, deceptive, or materially misleading communications.

  • Promote unlawful products, services, or transactions.

  • Obtain confidential information through improper means.

  • Misrepresent their identity or authority.

  • Target individuals in violation of applicable restrictions.

  • Circumvent valid opt-out requests or suppression lists.

  • Engage in harassment, unlawful discrimination, or other prohibited conduct.

Acevista may refuse or suspend activities that it reasonably believes present material legal, compliance, security, or reputational risks.

Neither party may require the other to engage in unlawful conduct.

10. Intellectual Property

Unless otherwise agreed in writing, Acevista retains ownership of its pre-existing materials, methodologies, processes, templates, systems, internal documentation, and proprietary know-how.

These materials may include campaign frameworks, outreach methodologies, research processes, and reusable messaging structures.

Subject to the applicable service agreement and payment of any fees due, the client may use client-specific deliverables supplied for its business purposes.

The client retains ownership of its pre-existing trademarks, business information, materials, and intellectual property.

Neither party may use the other party's trademarks, logos, or confidential materials in public marketing without permission, except where otherwise agreed in writing or permitted by law.

11. Confidentiality

During an engagement, either party may receive confidential information belonging to the other.

Confidential information may include acquisition criteria, business strategies, prospect lists, campaign performance, transaction discussions, financial information, commercial terms, and non-public operational information.

Each party agrees to:

  • Use confidential information only for the purposes of the engagement.

  • Take reasonable steps to prevent unauthorized access or disclosure.

  • Limit access to individuals who reasonably need the information.

  • Not disclose confidential information to third parties except as authorized, required for service delivery under appropriate safeguards, or required by law.

Confidentiality obligations do not apply to information that the receiving party can demonstrate:

  • Is publicly available through no breach of an obligation.

  • Was lawfully known before disclosure.

  • Was independently developed without using confidential information.

  • Was lawfully received from another source without a confidentiality restriction.

  • Must be disclosed under applicable law or a valid legal requirement.

Where legally permitted, a party required to disclose confidential information will provide reasonable advance notice to the other party.

These obligations continue after termination for as long as the information remains confidential, subject to applicable law and any specific duration agreed in writing.

12. Privacy and Data Protection

Acevista may process business contact information and other personal data when providing its services or operating its website.

Each party is responsible for meeting the data protection obligations that apply to its own activities.

Depending on the engagement, Acevista and the client may have different roles in determining how personal data is collected, used, shared, and retained.

Where necessary, the parties should enter into an appropriate data processing agreement or other data-sharing arrangement.

Acevista's handling of personal data is described in its Privacy Policy.

Clients must not provide personal data that they are not authorized to share or instruct Acevista to process information unlawfully.

13. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, or consequential losses arising from the engagement, including loss of anticipated profits, business opportunities, goodwill, or expected transaction value.

This exclusion does not apply where such liability cannot lawfully be excluded.

Acevista does not guarantee that any particular prospect will respond, meet the client's expectations, enter negotiations, or complete a transaction.

The liability cap, if any, must be specified in the signed service agreement. It should be commercially reasonable and reviewed by legal counsel before use.

Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited under applicable law, including any mandatory consumer rights where applicable.

14. Indemnification

To the extent permitted by law, each party will be responsible for claims, losses, liabilities, and reasonable costs arising from its own breach of the agreement, unlawful conduct, infringement of third-party rights, or material misrepresentations.

Where a party seeks indemnification, it should provide reasonably prompt notice of the claim and cooperate with the other party in responding to it.

No party may settle a claim in a manner that imposes an admission, payment obligation, or continuing liability on the other party without that party's consent, except where otherwise agreed or required by law.

The parties may define more specific indemnification obligations in their written service agreement.

15. Suspension and Termination

The terms governing cancellation, suspension, and termination of a paid engagement will be set out in the applicable service agreement.

Unless otherwise agreed, either party may request termination in writing in accordance with the notice period and conditions specified in that agreement.

Acevista may suspend or terminate services where reasonably necessary because of:

  • A material breach of the agreement.

  • Unlawful or prohibited use of the services.

  • A material failure to pay fees when due.

  • A significant security or compliance risk.

  • Circumstances that make continued performance unlawful or impracticable.

Where appropriate and legally permissible, the affected party should receive notice and a reasonable opportunity to address the issue.

Termination does not automatically cancel fees that have already become payable under the applicable agreement.

Any prepaid fees, refunds, outstanding invoices, data handling obligations, and post-termination responsibilities will be handled according to the service agreement, Refund Policy, Privacy Policy, and applicable law.

16. Changes to These Terms

Acevista may update these Terms & Conditions to reflect changes in its services, operations, or legal requirements.

The revised version will be published on this page with an updated revision date.

Material changes to an existing paid engagement will be governed by the relevant service agreement and applicable law. Website updates will not automatically amend a signed agreement unless the parties agree to the change or the agreement expressly permits it.

Continued use of the website after an update constitutes acceptance only to the extent such acceptance is legally effective.

17. Governing Law and Disputes

These Terms & Conditions and disputes arising from them will be governed by the laws specified in the applicable written service agreement.

If no separate governing-law provision exists, the applicable governing law and forum must be determined based on Acevista's legal entity, the parties' locations, and relevant mandatory legal requirements.

The parties should first attempt to resolve disputes through good-faith discussions.

If a dispute cannot be resolved informally, either party may pursue the remedies available under applicable law.

Nothing in this section prevents a party from seeking urgent legal relief where appropriate.
